Agreement to Terms

By accessing or using ZECTA Pvt Ltd's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations of the Republic of Maldives. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Provided

ZECTA Pvt Ltd provides comprehensive MEP (Mechanical, Electrical, and Plumbing) services including:

  • MEP System Design and Engineering
  • Installation of Electrical, Plumbing, and HVAC Systems
  • MEP Consultancy and Technical Advisory
  • Fire Protection System Design and Installation
  • Building Services Engineering
  • Project Management and Supervision

Specific terms for each service will be outlined in individual project agreements and contracts.

Use of Services

Permitted Use

You may use our services for lawful purposes only. You agree not to:

  • Violate any applicable laws or regulations of the Maldives
  • Infringe on intellectual property rights
  • Misuse or misrepresent our technical specifications
  • Attempt to gain unauthorized access to our systems
  • Use our services for any fraudulent purpose
  • Impersonate ZECTA or our engineers

Project Agreements and Contracts

All MEP projects are subject to separate written agreements that will specify:

  • Detailed scope of work and deliverables
  • Project timeline and milestones
  • Payment terms and schedules
  • Technical specifications and standards
  • Quality assurance and warranty terms
  • Change order procedures

These individual agreements shall take precedence over these general Terms of Service in case of any conflict.

Intellectual Property Rights

ZECTA's Property

All MEP designs, drawings, specifications, methodologies, and technical documentation created by ZECTA remain our intellectual property unless otherwise specified in the project agreement. ZECTA retains the right to use project designs for portfolio purposes and marketing materials.

Client Property

Upon full payment, clients receive a license to use the MEP designs and documentation for the specific project. Modification or reproduction of designs for other projects requires written consent from ZECTA.

Payment Terms

  • Payment terms will be outlined in individual service agreements
  • Advance deposits are typically required before project commencement
  • Progress payments may be required at specified milestones
  • Late payments may incur interest charges as per Maldivian law
  • Final payment is due upon project completion and acceptance
  • All prices are subject to change without notice

Standards and Compliance

ZECTA adheres to international MEP standards and local building codes. All work is performed in compliance with relevant Maldivian regulations, safety standards, and industry best practices. Clients are responsible for obtaining necessary permits and approvals from local authorities.

Warranties and Guarantees

ZECTA provides warranties as follows:

  • Workmanship warranties as specified in project agreements
  • Equipment and material warranties from manufacturers
  • Design warranties for professional services rendered
  • Installation warranties for completed systems

Warranty periods and coverage will be detailed in individual project contracts.

Limitation of Liability

To the fullest extent permitted by Maldivian law, ZECTA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from our services. Our total liability shall not exceed the total amount paid for the specific service or project in question.

Force Majeure

ZECTA is not liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, material shortages, labor disputes, or other force majeure events.

Project Changes and Modifications

Any changes to the agreed scope of work must be submitted in writing through our change order process. Changes may affect project timelines and costs. ZECTA reserves the right to adjust pricing and schedules based on approved changes.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information, technical specifications, and project details. Non-disclosure agreements may be executed for sensitive projects as required.

Dispute Resolution

Any disputes arising from these Terms of Service or our services shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation, if negotiations fail
  • Arbitration or litigation under Maldivian law as a last resort

These Terms shall be governed by the laws of the Republic of Maldives. Any legal proceedings shall be conducted in the appropriate courts of the Maldives.

Termination

Either party may terminate a service agreement according to the terms outlined in the specific project contract. ZECTA reserves the right to terminate services for non-payment or violation of these Terms of Service. Termination procedures and liabilities will be as specified in individual agreements.

Safety and Liability

ZECTA maintains appropriate insurance coverage for our operations. Site safety is a shared responsibility. Clients must provide safe working conditions and access to project sites. ZECTA adheres to all safety regulations and standards applicable to MEP work in the Maldives.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid under Maldivian law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
